TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the AI-powered platform, tools, APIs, software, and related services provided by Ansera.AI  (“Ansera.AI,” “we,” “us,” or “our”). These Terms form a legally binding agreement between you (“you,” “your,” or “user” or “client”) and Ansera.AI.

Please read these Terms carefully before accessing or using our Services. By accessing or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms, including any updates we may make from time to time. If you do not agree with any part of these Terms or the accompanying Privacy Policy, you must not use or access the Services.

If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and all references to “you” or “your” apply to that entity as well.

ARBITRATION NOTICE. Except for certain disputes described in Section 12 (Dispute Resolution and Arbitration), you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND ANSERA.AI ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

1. Description of Services

Ansera.AI provides an AI-powered search and chat experience, user analytics, and personalization platform designed to enhance user engagement and content relevance. The Services include the Ansera.AI platform, APIs, software tools, integrations, and any related features, whether accessed directly through our website, whether accessed directly or embedded on your site.

Ansera.AI reserves the right to modify, update, or discontinue any part of the Services at any time, with or without notice. If we make changes that materially reduce the functionality of paid Services, we will use reasonable efforts to notify affected users in advance.

2. Eligibility

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from the Services; and (c) your registration and use of the Services complies with all applicable laws and regulations.

If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

3. Accounts and Registration

3.1 Account Creation

To access most features of the Services, you must register for an account. You agree that the information you provide during registration is accurate, complete, and current, and that you will keep it up to date at all times.

3.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including usernames, passwords, and API keys. You must promptly notify Ansera.AI at info@ansera.ai if you suspect any unauthorized access to or use of your account. Ansera.AI is not liable for any loss or damage resulting from your failure to safeguard your account credentials.

3.3 Account Responsibilities

You are responsible for all activities conducted under your account, including those by employees, agents, contractors, or others acting on your behalf. You must ensure that all use of the Services under your account complies with these Terms, the Ansera.AI Privacy Policy, and all applicable laws and regulations.

3.4 API Keys and Access Credentials

Where API access is provided, you are responsible for keeping your API keys, tokens, or other access credentials secure. You must not share these credentials with unauthorized persons or expose them in publicly accessible locations. Misuse or disclosure of credentials may result in suspension or termination of access and liability for any resulting damages.

3.5 Account Suspension and Termination

Ansera.AI reserves the right to suspend or terminate any account, with or without prior notice, if it determines in its sole discretion that the account holder has breached these Terms, engaged in fraudulent or illegal activity, or otherwise acted in a way that could harm Ansera.AI, its users, or third parties.

4. Fees and Payment

4.1 General Payment Terms

Certain features of the Services may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. Unless otherwise specifically provided, all fees are in U.S. Dollars and are non-refundable, except as required by law.

4.2 Pricing

Ansera.AI reserves the right to determine pricing for the Services. We will make reasonable efforts to keep published pricing information up to date. Ansera.AI may change the fees for any feature of the Services if we provide you with advance notice before the changes take effect.

4.3 Subscription Services

The Services may include subscription-based plans with automatically recurring payments. If you activate a subscription, you authorize Ansera.AI or its third-party payment processors to periodically charge your payment method for the applicable subscription fees plus any applicable taxes. Your subscription will automatically renew for successive periods unless you cancel before the renewal date. You may cancel your subscription by logging into your account settings or by contacting us at info@ansera.ai.

4.4 Delinquent Accounts

Ansera.AI may suspend or terminate access to the Services for any account with unpaid amounts. A delinquent account may also be charged fees incidental to collection of unpaid amounts. If your payment method is no longer valid at the time a renewal fee is due, Ansera.AI reserves the right to delete your account and any associated data without liability to you.

5. Licenses and Restrictions

5.1 Limited License

Subject to your complete and ongoing compliance with these Terms, Ansera.AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal or internal business purposes.

5.2 AI-Generated Content

You may use the Services to generate information, content, and outputs (collectively, “AI-Generated Content”). Subject to your compliance with these Terms, Ansera.AI hereby assigns to you all of its rights, title, and interest (if any) in and to the AI-Generated Content resulting from your use of the Services. The Services may produce the same or similar content for other users, and this assignment does not extend to content resulting from other users’ use of the Services. You are solely responsible for your use of any AI-Generated Content.

5.3 License Restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you may not:

1. reproduce, distribute, publicly display, publicly perform, or create derivative works of the Services;
2. modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Services;
3. interfere with or circumvent any security or access control feature of the Services;
4. use the Services in any manner that infringes or misappropriates third-party intellectual property or other rights.

5.4 Feedback

If you choose to provide suggestions, feedback, or other ideas regarding the Services, you grant Ansera.AI an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free license to use such feedback in any manner and for any purpose, including to improve the Services. We will have no obligation to provide you with attribution for any feedback you provide.

6. User Content

6.1 User Content Generally

Certain features of the Services may permit you to submit, upload, or otherwise transmit content to the Services, including documents, data, text, images, and other materials (“User Content”). You retain any copyright and other proprietary rights that you hold in the User Content you provide, subject to the licenses granted in these Terms.

6.2 License Grant to Ansera.AI

By submitting User Content to or via the Services, you grant Ansera.AI a worldwide, non-exclusive, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, reproduce, modify for the purpose of formatting for display, and distribute your User Content solely as necessary to provide and improve the Services.

6.3 User Content Representations

You must not submit User Content if you are not the owner of or are not fully authorized to grant rights in all elements of that content. By providing User Content, you represent and warrant that:

1. you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Ansera.AI to use and distribute it as contemplated by these Terms;
2. your User Content does not infringe, violate, or misappropriate any third-party right, including any intellectual property, privacy, or publicity right;
3. your User Content does not violate any applicable law or regulation.

6.4 User Content Disclaimer

Ansera.AI is under no obligation to edit or control User Content and will not be responsible or liable for User Content. Ansera.AI may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable.

7. Intellectual Property Rights

All intellectual property rights in and to the Ansera.AI Services, platform, software, APIs, content, documentation, and related materials are and will remain the exclusive property of Ansera.AI or its licensors. No rights or licenses are granted to you except as expressly stated in these Terms.

If the Services include or incorporate third-party software components available under open-source licenses, nothing in these Terms prevents or restricts you from obtaining those components under the applicable third-party licenses.

8. Data Privacy and Security

Ansera.AI processes user data in accordance with applicable data protection laws and the Ansera.AI Privacy Policy. We implement reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of user data against unauthorized access, disclosure, alteration, or destruction.

You are responsible for ensuring that your use of the Services complies with applicable data privacy laws, including obtaining all necessary consents and providing appropriate notices to end users where required.

Ansera.AI retains user data only for as long as necessary to provide the Services and as required by applicable law. Upon termination of your account, Ansera.AI will delete or anonymize your data in accordance with the Privacy Policy.

9. Third-Party Services

The Services may provide tools that enable you to connect with or export and import information to and from third-party services. Third-party services are not under Ansera.AI’s control, and Ansera.AI is not responsible for any third-party service’s use of your information. Please review the terms of use and privacy policy of any third-party services before sharing data with them.

The Services may also contain links to third-party websites. Linked websites are not under Ansera.AI’s control, and Ansera.AI is not responsible for their content or availability.

10. Disclaimers; No Warranties

THE SERVICES AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICES ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. ANSERA.AI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT.

ANSERA.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, NOR THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.

ANSERA.AI USES ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TO PROVIDE THE SERVICES. YOU ACKNOWLEDGE AND AGREE THAT THE TECHNOLOGY IS EXPERIMENTAL, RAPIDLY EVOLVING, AND SUBJECT TO UNEXPECTED OUTPUTS AND RESULTS. THE SERVICES MAY PROVIDE RESULTS THAT CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. ANSERA.AI WILL NOT BE LIABLE FOR ANY MISTAKES, INACCURACIES, OMISSIONS, OR OFFENSIVE MATERIAL IN AI-GENERATED CONTENT. YOU RELY UPON AI-GENERATED CONTENT AT YOUR SOLE RISK.

11. Dispute Resolution and Arbitration

11.1 Generally

Except as described in Section 12.2 (Exceptions), you and Ansera.AI agree that every dispute arising in connection with these Terms or the Services will be resolved through binding arbitration. Arbitration uses a neutral arbitrator instead of a judge or jury, is less formal than a court proceeding, and is subject to very limited review by courts.

YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND ANSERA.AI ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

11.2 Exceptions

Nothing in these Terms will be deemed to waive the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through an applicable federal, state, or local agency; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) file suit in a court of law to address an intellectual property infringement claim.

11.3 Opt-Out

If you do not wish to resolve disputes by binding arbitration, you may opt out within 30 days after the date you agree to these Terms to info@ansera.ai with subject line Attention: Legal Department – Arbitration Opt-Out, specifying your full legal name, the email address associated with your account, and a statement that you wish to opt out of arbitration.

11.4 Arbitration Proceedings

This arbitration agreement is subject to the Federal Arbitration Act and will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. Before initiating arbitration, a party must first send a written notice of the dispute to the other party by certified U.S. Mail or electronic mail, describing the nature and basis of the claim and the specific relief sought. The parties will make good faith efforts to resolve the claim directly within 30 days.

11.5 No Class Actions

YOU AND ANSERA.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any form of a representative or class proceeding.

12. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Ansera.AI, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

1. your use of the Services or violation of these Terms;
2. any breach by you of any representation or warranty made herein;
3. your violation of any applicable law, regulation, or third-party rights;
4. any content or data you provide or transmit through the Services.

Ansera.AI will promptly notify you of any claim subject to indemnification and will cooperate with you, at your expense, in the defense or settlement of such claim.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANSERA.AI BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANSERA.AI HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.

ANSERA.AI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO ANSERA.AI FOR ACCESS TO AND USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

14. Term and Termination

14.1 Term

These Terms are effective beginning when you accept the Terms or first access or use the Services, and ending when terminated as described below.

14.2 Termination

If you violate any provision of these Terms, your authorization to access the Services and these Terms automatically terminate. Ansera.AI may also, at its sole discretion, terminate your account or suspend your access to the Services at any time for any reason, with or without notice and without liability. You may terminate your account at any time by contacting us at info@ansera.ai.

14.3 Effect of Termination

Upon termination: (a) your license rights will terminate and you must immediately cease all use of the Services; (b) you will no longer be authorized to access your account; (c) you must pay Ansera.AI any unpaid amounts accrued prior to termination; and (d) all payment obligations accrued prior to termination, as well as sections of these Terms that by their nature should survive (including intellectual property, indemnification, limitation of liability, and dispute resolution), shall continue in full force and effect. You are solely responsible for retaining copies of any User Content, as you may lose access upon termination.

15. Modifications to Terms

We may, from time to time, change these Terms. We will provide notice of material changes by posting the updated Terms on our website or via email. Continued use of the Services after such changes constitutes your acceptance of the revised Terms. If you do not agree to modified Terms, you should discontinue your use of the Services.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire and exclusive understanding and agreement between you and Ansera.AI regarding your use of the Services.

16.2 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You and Ansera.AI submit to the personal and exclusive jurisdiction of the state courts and federal courts located within the State of Delaware for resolution of any lawsuit or court proceeding permitted under these Terms.

16.3 Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms and all rights granted under these Terms at any time without notice or consent.

16.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

16.5 Waiver

No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right, nor shall any single or partial exercise of any right preclude any other or further exercise of that right.

16.6 Force Majeure

Ansera.AI shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, or governmental actions.

16.7 No Agency

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Ansera.AI.

16.8 Electronic Communications

By using the Services, you consent to receiving electronic communications from us. You agree that any notices, agreements, disclosures, or other communications sent electronically will satisfy any legal communication requirements, including that those communications be in writing.

Acceptable Use Policy

This Acceptable Use Policy (“AUP”) applies to all users of the products and services offered by Ansera.AI, Inc. (“Ansera.AI,” “we,” “us,” or “our”), and is intended to promote the safe and responsible use of our Services. Your use of the Ansera.AI Services must comply with this AUP, the Ansera.AI Terms of Service, and the Ansera.AI Privacy Policy at all times.

For purposes of this AUP, “Laws” means all applicable local, state, federal, and international laws, regulations, and conventions, including those related to data privacy and data transfer, international communications, and the export of data.

1. Input Restrictions

You will not (and you will not permit any third party to) input into, or otherwise make available to, the Ansera.AI Services any of the following types of data:

1. Content that is obscene, defamatory, deceptive, harassing, abusive, threatening, hateful, or discriminatory;
2. Viruses, malware, malicious code, or similar harmful materials;
3. Data that violates applicable Laws;
4. Data that violates a third party’s intellectual property, privacy, publicity, or other rights;
5. Patient, biometric, medical, or other protected health information regulated by the Health Insurance Portability and Accountability Act (HIPAA), as amended and supplemented;
6. Credit, debit, or other payment card data subject to the Payment Card Industry Data Security Standards (PCI DSS);
7. Social security numbers, driver’s license numbers, or other government-issued identification numbers;
8. Any data that violates this AUP; or
9. Any data that has the potential to cause the output from the Services to violate any of the foregoing restrictions in this Section 1.

2. Prohibited Conduct

You will not, will not attempt to, and will not permit a third party to, on your behalf, do any of the following:

1. Violate any applicable law or regulation, including data protection, intellectual property, and export control laws;
2. Use the Services to generate, engage in, promote, support, or facilitate hateful, discriminatory, or violent activities, whether online or offline;
3. Generate content for spam or other unsolicited communications to other users;
4. Prompt the Services with inputs that violate this AUP, or use the Services to generate outputs that you know or should reasonably know would be unlawful or would infringe the rights (including intellectual property rights) of others;
5. Request output that is “in the style of” or “similar to” third-party proprietary content, or that is otherwise derivative of third-party proprietary content;
6. Employ AI-Generated Content for deceptive, harmful, or misleading purposes, including the dissemination of false information or impersonation of any person or entity;
7. Upload or distribute viruses, malware, adware, spyware, worms, or any other harmful code or content that disrupts, damages, or interferes with the Services or other users;
8. Engage in activities that interfere with or disrupt the integrity, security, or performance of the Services or the networks connected to the Services;
9. Access the Services through unauthorized means, including sharing credentials, scraping, crawling, or using any engine, software, tool, agent, device, or mechanism (including spiders, robots, and data mining tools) other than the software or interfaces provided by Ansera.AI;
10. Attempt to access other users’ data or accounts without their express permission;
11. Engage in unauthorized data mining, scraping, or extraction of data from the Services or from other users;
12. Input Sensitive Personal Data into AI models without explicit consent and appropriate safeguards as required under applicable law; Ansera.AI does not intentionally process such data;
13. Automate or delegate use of the Services to unauthorized third parties or unapproved software agents (bots);
14. Engage in any activity that Ansera.AI reasonably determines will cause liability to Ansera.AI; or
15. Attempt to do any of the acts described in this Section 2, or assist or permit any person in engaging in any of the acts described in this Section 2.

3. Third-Party Policies

At all times in connection with your use of the Services, you agree to comply with the terms of use, acceptable use policies, and other applicable policies of third-party providers whose technology is integrated into or accessed through the Services. This includes, but is not limited to, the usage policies and service terms of any underlying AI model providers (such as Anthropic, OpenAI, Google, and their affiliates), authentication providers, and other infrastructure partners.

Ansera.AI may update the list of applicable third-party policies from time to time and will make the current list available upon request or on the Ansera.AI website. You are responsible for reviewing and complying with all such third-party policies.

4. Content Responsibility

You are responsible for the lawfulness, accuracy, integrity, and quality of all data, content, or materials you provide or transmit via the Services. Ansera.AI is not liable for any such content or for any consequences arising from its use or processing.

5. Monitoring and Enforcement

Ansera.AI may monitor your compliance with this AUP and investigate any violations. If Ansera.AI determines, in its sole discretion, that you have violated this AUP (directly or indirectly), Ansera.AI may take one or more of the following actions:

1. Remove or suspend your access to the Services;
2. Delete your account or User Content;
3. Report illegal activity to applicable law enforcement authorities; or
4. Take any additional remedial action Ansera.AI deems appropriate.

This AUP is not exhaustive, and Ansera.AI reserves the right to take remedial action in connection with content or uses not specifically described above.

Ansera.AI may also perform audits or require you to provide information reasonably necessary to verify compliance with this AUP. You agree to cooperate with such requests.

6. Reporting Violations

If you become aware of any suspected violation of this AUP, you must promptly notify Ansera.AI at info@ansera.ai and provide a detailed explanation of the reasons for suspecting such violation. Ansera.AI may request your reasonable assistance to help stop or remedy the violation, and you agree to cooperate and assist in connection with any such request.

7. Modifications

Ansera.AI may update this AUP as its technology and the associated risks evolve, or as Ansera.AI learns about unanticipated risks. Ansera.AI may modify this AUP at any time by posting a revised version on its website. We will provide notice of material changes, and your continued use of the Services after such changes constitutes acceptance of the revised AUP.
